3. Orders and Payment

  • Placing an order is an offer to purchase, which we may accept or decline (e.g., for stock unavailability, pricing errors, or credit issues).
  • Payment methods accepted are displayed at checkout. Approved accounts may qualify for net payment terms, subject to credit review.
  • Late payments on net-terms accounts may incur interest charges and/or suspension of future orders, as permitted by law.

4. Shipping and Freight

  • Estimated delivery times are provided for reference only and are not guaranteed.
  • Heavy or oversized tools/equipment may ship via freight carrier; the Buyer is responsible for ensuring appropriate receiving capability (e.g., loading dock, forklift) unless liftgate delivery is purchased.
  • Risk of loss and title transfer to the Buyer upon delivery to the shipping/freight carrier.

5. Returns and Warranty

Returns, freight damage claims, and manufacturer warranty claims are governed by our Returns & Warranty Policy, which forms part of these Terms.

6. Product Use and Safety

  • All tools and equipment must be used in accordance with the manufacturer’s instructions, included safety documentation, and applicable workplace safety regulations.
  • Buyer is solely responsible for ensuring that its employees, contractors, or agents are properly trained and equipped (including required personal protective equipment) before operating any tool or equipment purchased through the Site.

7. Warranty Disclaimer

Except for the manufacturer’s warranty referenced in our Returns & Warranty Policy, products are sold “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, ProHardwareTool shall not be liable for any indirect, incidental, special, or consequential damages — including lost profits, business interruption, or personal injury or property damage arising from misuse of purchased tools — arising from your use of the Site or products purchased. Our total liability for any claim shall not exceed the amount paid for the product giving rise to the claim.

Buyer agrees to indemnify and hold ProHardwareTool harmless from claims, damages, or expenses arising from Buyer’s misuse of purchased products, violation of these Terms, or failure to comply with applicable safety regulations.

All content on this Site — including text, images, logos, and product catalogs — is the property of ProHardwareTool or its licensors/manufacturers and may not be reproduced or used without prior written consent.

11. Export Compliance

Buyer is responsible for complying with all applicable export control laws and regulations if purchased products are shipped, resold, or used outside the country of purchase.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which ProHardwareTool is legally registered, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts having jurisdiction over that location.
